Terms & conditions

Last updated: September 2026

These terms and conditions apply to every quote, offer, agreement and delivery by Webclouds (“we”, “us”) to our clients (“you”). By accepting a quote from us, starting a subscription or signing off on an order, you accept these terms. Any terms of your own that conflict with these are only binding when we agree to them explicitly in writing.

We work in two ways. The subscription, where we build, host and keep improving your website for a fixed amount per cycle, is covered by section A. Project work, quoted and delivered once, is covered by section B. Sections C onwards apply to both.

A1. The subscription, in short

You pay a fixed amount per cycle and we design, build, host and keep improving your website for as long as the subscription runs. Hosting, SSL, security updates, mailboxes, analytics, the reports and every change you ask for are included; there is no separate invoice for them. The amount and the cycle length are stated when you start, on your welcome screen and on every invoice. A cycle is 28 days unless we agree otherwise in writing.

A2. Payment and direct debit

Your first cycle is paid before we begin, through our payment provider (Mollie). Paying it also authorises us, by SEPA direct debit, to collect the same amount for each following cycle from the account you paid with. You give that authorisation explicitly when you start, and you can see it in your dashboard at any time.

Each following cycle is collected automatically on the first day of that cycle. If a collection fails or is reversed, we'll tell you and send you a payment link instead. If it stays unpaid, we may pause work and, after the reminders described in these terms, take your site offline until the balance is settled. You can withdraw the authorisation at any time, which is treated as notice of cancellation under A4.

You are entitled to reverse a direct debit collection through your own bank for up to eight weeks, as European rules provide. Reversing a collection does not by itself end the subscription, and the amount remains due unless you also cancel.

A3. Prices

Prices are in euros and exclude VAT. We may adjust the subscription price once per calendar year, with at least one month's notice in writing. If you don't accept the new price, you may cancel with effect from the date it would take effect, and section A4's notice period does not apply to that cancellation.

A4. Cancelling

The subscription runs until you or we end it. Either of us may cancel with one calendar month's notice, in writing or by email. The subscription and the collections then continue until the end of that month, and stop afterwards. There is no minimum term beyond that notice period.

Cancelling is not retroactive: cycles already collected are not refunded, and a cycle that has begun runs to its end.

A5. What happens to your website when the subscription ends

The website is part of the subscription rather than a one-off purchase, which is what makes the price what it is. When the subscription ends, we take the site offline at the end of the final paid cycle.

You can keep it: if you tell us before that date, we'll quote you a buy-out (a one-off amount for the build itself), and once it's paid we hand over the source code and the content, and you host it wherever you like. We'll also export your content and the analytics we hold for you on request, at no charge, whether or not you buy the site out.

We keep your data for three months after the subscription ends in case you come back, and delete it afterwards unless the law requires us to keep it longer. Invoices we keep for seven years, because Dutch tax law says so.

A6. Your domain

Unless you already own it, we register and hold your domain name during the subscription and pay for it out of the subscription. When the subscription ends and everything owed has been settled, we transfer the domain to you or to a registrar of your choosing on request, at no charge. A domain you brought with you stays yours throughout, and we only manage the settings.

A7. Fair use of “every change you ask for”

Changes to the text, images, sections and pages of your site are included, as are new pages within the same scope. Building something that is really a second product (a webshop, a booking system, a member area, an integration with your own software) is a project, and we'll quote it separately under section B. We'll always say so before we start rather than afterwards.

B. Project work

The clauses that follow apply to work quoted and delivered as a project, rather than under a subscription.

B1. Definitions

  • Project, the work described in an accepted quote: typically a website build or an optimisation assignment.
  • Deliverable, any output we produce for you as part of the project: designs, code, copy, guidelines or the live site itself.
  • Kick-off, the moment at which work on a project begins, after the quote is accepted and the deposit (if agreed) is received.

B2. Quotes & acceptance

Our quotes are valid for 14 days unless stated otherwise. A project starts when (a) you accept the quote in writing or by email and (b) any agreed deposit has been paid. From that moment the project is locked in and the clauses below apply.

B3. Cancellation after kick-off

This clause is about project work. Subscriptions are cancelled under A4.

Once a project has kicked off and we've started work, the project cannot be cancelled. We block time in our team's calendar specifically for you, often turn down other work to make room, and the value we deliver compounds from the first day. Any deposits are non-refundable after kick-off and amounts already invoiced remain due.

If you want to pause the project for legitimate reasons (business emergency, extended illness), reach out, we'll do our best to reschedule, but we can't guarantee the same team slot or timeline when work resumes.

B4. Revisions & satisfaction

We want you to be happy with the end result. Every project includes revision rounds, which we'll define in the quote. Within those rounds, we iterate on the deliverables until they hit the mark.

If you're not yet satisfied once the scope runs out, we're happy to keep working with you until you are, no extra charge, no drama, as long as your feedback stays within the originally agreed scope, brand direction and project goals.

In the rare case that we can't reach a result you're happy with even after extra rounds, and we jointly conclude the project shouldn't continue, we invoice you for the work actually delivered up to that point at our standard day rate. Any amounts already paid are credited against that invoice.

B5. Scope changes

Changes that go beyond the scope defined in the accepted quote (new features, expanded sitemap, additional revision rounds once the included rounds are used) are handled as a change request. We estimate the extra effort up front and either add it to the project plan or handle it as a separate assignment.

B6. Prices & payment

All prices are in euros and exclude VAT unless stated otherwise. Unless we agree otherwise in writing, the payment structure is:

  • A deposit (typically 30–50% of the project total) before kick-off.
  • The remaining balance on final delivery and sign-off.

Payment terms are 14 days from the invoice date. If an invoice is late, we may pause ongoing work until it is settled. For invoices overdue by more than 30 days, we reserve the right to charge statutory interest and reasonable collection costs.

B7. Delivery timelines

Timelines shared in a quote or project plan are a best-effort commitment based on the scope agreed at kick-off. They depend on timely input from you, content, brand materials, feedback and sign-offs on each milestone. Delays caused by late feedback from your side can shift the timeline; we'll communicate revised dates as soon as we know them.

C1. Intellectual property

On full payment of the final invoice, you get a perpetual, non-exclusive right to use the deliverables for the purpose they were created for (i.e. running your business). We retain the right to showcase the project in our own portfolio and marketing unless you ask us not to in writing.

Third-party assets (stock photos, icon sets, fonts, plugins) stay subject to the licences of their respective owners. We'll make those licences visible to you on request.

C2. Confidentiality

We treat any non-public information you share with us as confidential and only share it with team members who need it to deliver the project. On request we sign a mutual NDA before the project starts.

C3. Liability

We deliver every project with care, but we can't guarantee perfection. Our total liability for direct damages is capped at the amount paid for the project in the 12 months before the claim. We aren't liable for indirect damages such as lost revenue, missed opportunities or consequential business impact, except in cases of intent or gross negligence on our side.

C4. Force majeure

If circumstances outside our reasonable control (major service outages, extended illness of critical team members, legal or governmental events) prevent us from meeting a deadline, the obligations on both sides pause for the duration of the event. Neither party owes damages for delays caused by force majeure.

C5. Termination for breach

Either party can terminate the agreement with written notice if the other party materially breaches these terms and fails to cure the breach within 14 days of a written request. In that case, you pay for the work delivered up to the moment of termination.

C6. Governing law & venue

Dutch law applies to every agreement with Webclouds. Disputes that can't be resolved between us go to the competent court in the district where Webclouds is established.

C7. Changes to these terms

We may update these terms from time to time. The version applicable to your project is the version in effect at the moment you accepted the quote. Material changes are communicated in advance.

C8. Contact

Questions about these terms? Email hello@webclouds.nl and we'll get back to you.
